Jillian Walsh
Jillian is a member of the corporate practice group of Outside Counsel Solutions. She has experience in all aspects of SEC reporting and compliance, as well as in securities and transactional corporate matters. She has also worked extensively in the field of corporate governance and stock exchange compliance.
Since joining OCS in 2005, Jillian has assisted general counsel of public companies with all aspects of SEC and stock exchange compliance. Her experience there included representation of entities in stock and asset transactions, mergers and acquisitions, financing transactions, private equity and venture capital, and general securities matters.
Representative Matters
- Drafting SEC forms 10-K, 10-Q, 8-K, 3, 4 and 5, and proxy statements, and information statements.
- Preparing and executing an option tender offer, reverse stock split, a spin-off and a cash dividend.
- Assisting an international publicly traded corporation in its tender offer for common stock of a publicly traded telecommunications provider, including drafting disclosure documents and various SEC filings, assisting in strategic and tactical decision-making, and ensuring compliance with federal securities and Delaware law.
- Preparing annual and quarterly disclosure filings for NYSE and Alternext-listed companies, including advising on corporate governance issues and interfacing with exchanges, SEC, transfer agents, and other vendors.
- Providing corporate and securities advice regarding spin-off of operating division of public company to shareholders.
